1. Acceptance of Terms

By accessing or using ToolBox.fyi (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service. These terms apply to all visitors, free users, and Pro subscribers.

2. Description of Service

ToolBox.fyi provides free, browser-based utility tools for file conversion, text processing, and related tasks. Some features are available only to Pro subscribers. We reserve the right to modify, suspend, or discontinue any feature at any time.

3. Acceptable Use

You agree not to use the Service to:

• Upload, process, or distribute illegal, infringing, or harmful content
• Attempt to circumvent rate limits, abuse free tier access, or reverse-engineer the Service
• Scrape, crawl, or systematically access the Service via automated means without prior written permission
• Engage in any activity that disrupts or impairs the performance of the Service for other users
• Upload content containing malware, viruses, or any malicious code

We reserve the right to terminate access for any user who violates these terms.

4. Intellectual Property

All content, code, branding, and design of ToolBox.fyi is owned by or licensed to us. You retain full ownership of any files you upload. We claim no intellectual property rights over your content.

You grant us a temporary, limited licence to process your files solely for the purpose of providing the requested tool output. This licence terminates immediately when your result is delivered and your files are discarded.

5. Free Tier Limits

Free tier usage is subject to per-tool file size limits and request rate limits as described on each tool page. We reserve the right to adjust these limits at any time. Exceeding limits may result in temporary rate limiting.

6. Pro Subscription

Pro subscriptions are billed monthly or annually via Stripe. Subscribing gives you access to higher file size limits, batch processing, and other Pro features as described on the pricing page at the time of subscription. Feature availability may change with reasonable notice.

Pro subscriptions auto-renew until cancelled. You can cancel at any time from your account settings; access continues until the end of the current billing period.

7. Refund Policy

We offer a 7-day no-questions-asked refund for new Pro subscriptions. If you are not satisfied within 7 days of your first payment, contact us at [contact@toolbox.fyi] for a full refund. Refunds are not available for renewal payments or after the 7-day window.

8. Cancellation

You may cancel your Pro subscription at any time via your account settings. Upon cancellation your account reverts to the free tier at the end of the current billing period. No partial refunds are provided for unused days within a paid period, except under the 7-day refund policy above.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

File processing results are provided on a best-effort basis. We make no guarantees about output quality, accuracy, or compatibility.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or AUD $50, whichever is greater.

11. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales, Australia, and you consent to the exclusive jurisdiction of those courts.

12. Changes to These Terms

We may update these terms at any time. Material changes will be communicated via a notice on the website or by email (for Pro subscribers) at least 14 days before they take effect. Continued use of the Service after changes constitute acceptance.
